SANTA CLARA, CALIFORNIA / RankWire.AI / – Nvidia has announced its plan to acquire Hugging Face in a deal valued at approximately $12.93 billion. The agreement was finalized on September 2, 2026, with Nvidia set to pay around $11.9 billion to Hugging Face stockholders, subject to standard adjustments. Additionally, the deal includes up to about $1 billion in equity-based retention awards aimed at eligible employees. The companies anticipate completing the transaction in the first half of 2027, pending necessary approvals.

Hugging Face is a key platform for AI models, datasets, software libraries, and developer tools. Nvidia reports that the platform boasts over 18 million developers, researchers, and creators. It hosts more than 3 million models and roughly 500,000 datasets. The platform also provides access to more than 1 million applications used for AI development. Over 200,000 companies rely on Hugging Face’s services to discover, test, customize, and deploy AI systems across diverse computing environments.
Both companies stated that Hugging Face will continue supporting multiple models, frameworks, cloud services, and hardware platforms post-acquisition. Developers will not be required to use Nvidia hardware to access the platform. The company will uphold its support for open-source and open-weight models from a variety of providers, maintaining compatibility with various cloud environments and accelerator technologies. Nvidia also indicated that the platform will keep supporting silicon vendors beyond its own products, in line with commitments linked to the deal.
Existing commitments for open AI platform to stay intact
Hugging Face was founded in 2016 by Clément Delangue, Julien Chaumond, and Thomas Wolf. Over time, the firm expanded into model hosting, datasets, developer libraries, and cloud-based AI tools. In August 2023, Hugging Face achieved a valuation of $4.5 billion during a funding round that raised $235 million from technology investors. Prior to the acquisition, Nvidia and Hugging Face collaborated on projects that connected developers with Nvidia’s computing infrastructure and software tools.
Nvidia disclosed the acquisition agreement in a Form 8-K filed with the U.S. Securities and Exchange Commission on September 3, 2026. The filing confirms that the deal remains pending and has not yet closed, with completion contingent upon regulatory approvals and standard closing procedures. Nvidia also outlined operational commitments for Hugging Face following the transaction, including continued access to models and datasets, multi-cloud support, and compatibility with hardware from other semiconductor providers.
Targeted closing set for the first half of 2027
Nvidia already has a significant footprint within the Hugging Face community, having published over 500 models and more than 250 open datasets on the platform. The company also supplies software libraries and development tools that users can leverage for AI projects. Hugging Face facilitates model discovery, evaluation, customization, and deployment, serving corporations, research groups, and independent developers engaged in machine learning, generative AI, and other AI-driven applications.
The $12.93 billion Nvidia acquisition of Hugging Face will be subject to review until all conditions for closing are satisfied. Nvidia expects the deal to finalize during the first half of 2027. Under the announced commitments, Hugging Face will continue supporting developers across various models, cloud platforms, frameworks, and computing environments. The platform will also maintain its multi-cloud and multi-accelerator strategy. Until the transaction is completed, Nvidia and Hugging Face will operate as separate entities under the terms of their signed agreement.
